Do you file the document with the junta comercial?

You receive the document finished, reviewed by a lawyer and ready to be signed and filed. The filing itself happens at the junta comercial of your state, and it is normally done by whoever already handles your company's filings, usually your accountant. Tell us in the chat where it is going and the document comes back in the form that state expects.

What does the lawyer do, and what does the AI do?

The AI handles speed. It asks everything it needs, structures the case, prepares the draft, and tells you the price and the deadline up front. It does not give legal opinions.

The lawyer does the legal work: reviews the draft, changes what needs changing, approves it, and takes professional responsibility for what you receive. Every document goes through both, and the review is not something you have to ask for.

Can you set up vesting in a sociedade limitada?

Yes, and it is one of the most common things we are asked for. In a limitada, vesting is usually built as an option over quotas rather than a direct grant, because every actual transfer of quotas requires its own amendment to the articles and a filing. How the plan is drafted also decides whether it is treated as pay, which is what shows up later in a labour claim or a tax assessment. That is a drafting decision, not a template choice.

What is the difference between the articles and a shareholders' agreement?

The articles of association are the public, registered document that creates the company. The shareholders' agreement is the private one between the partners, and it is where the things that actually cause fights are settled: how decisions get taken, what happens when someone wants out, how the company is valued, tag along and drag along, non-compete.

A company can operate on the articles alone. Once there is more than one partner with real money or real time in it, the agreement is the document that decides what an exit costs.

How much does a corporate document cost?

A fixed price per document, agreed before any work starts. You describe what you need, you get the price and the turnaround, and you decide whether to go ahead. No subscription and no hourly billing, and the price does not change after you approve it.

It costs considerably less than putting the same document through a traditional firm, because the AI does the preparation. It is not software pricing, though. Part of what you pay is a licensed lawyer's fee, for a professional who reviews the document, approves it and is answerable for it. That is the part we are not willing to cut.

Can I use a template I found online?

Sometimes, for the simplest case. What a template cannot tell you is which clauses matter for your cap table, which ones are missing, and which ones the junta comercial in your state will send back. A template also has no view on the thing these documents are really for, which is what happens when the partners stop agreeing.
